The purpose of this document is to provide information to assist Tenderers in their RFT Submission. Museums Victoria and its employees, representatives and consultants make no representation or warranty as to the accuracy, reliability or completeness in respect of information provided.
Museums Victoria, its employees, representatives and consultants shall have no liability to a Tenderer or other person under the law of contract, tort, the principles of restitution or unjust enrichment or otherwise for any loss, cost, liability expense or damage which may arise from or be incurred as a result of anything contained in this document, and any information supplied by or on behalf of MuseumsVictoria or otherwise arising in any way from the selection process.
1 TENDER CONDITIONS
1.1 Rules Governing Content and Submission of Tenders
1.1.1 RFT and Representations
1.1.1.1
This RFT is, and shall remain, the property of Museums Victoria. It may only be used for the purpose of preparing a Tender response.
1.1.1.2
No person receiving this RFT shall disclose to any person its content in whole or in part, or copy its content in whole or in part, or allow it to be disclosed or copied, except in the express purpose of preparing a response to the RFT.
1.1.1.3
Museums Victoria retains the right to change any details in this RFT and where it does so, it will give notice to the Tenderers.
1.1.1.4
Museums Victoria does not warrant the accuracy of the content of this RFT and Museums Victoria will not be liable for any omission from this RFT.
1.1.1.5
No representation made by or on behalf of Museums Victoria in relation to the Tender or this RFT (or their subject matter) shall be binding on Museums Victoria unless that representation is made in writing and is incorporated into the contract to be formed on the basis of this RFT and the successful tender.

1.1.1.6.1 Requests for clarification or further information
Any questions or requests for further information or clarification of the RFT (or any other document issued in connection with the Tendering Process) must be submitted to the “Contact Person” in writing, preferably by email.
1.1.1.6.2 Unauthorised Communication
Communications with staff of MV or consultants assisting with MV in the Tendering Process are not permitted during the tendering process except as provided in section 1.1.1.6.1 above, or otherwise with the prior written consent of the Project Manager. Nothing in this section is intended to prevent communication with staff of, or consultants to, MV to the extent that such communication do not relate to this RFT or the Tendering Process.
Tenderers must not otherwise engage in any activities that may be perceived as, or that may affect or, influence the outcomes of the Tendering Process in any way.
Unauthorised communications with such persons may, in the absolute discretion if MV, lead to disqualification of a Tenderer.
1.1.1.7 Nominated Representative | Tenderer
Each Tenderer must appoint a person to be responsible for the day to day interaction with Museums Victoria throughout the evaluation of the Tender.
Each Tenderer must provide Museums Victoria with the address and telephone number of the Tenderer’s representative who may be contacted during normal business hours and, if requested by Museums Victoria, a telephone number at which the representative may be contacted after normal business hours. The Tenderer must notify Museums Victoria in writing immediately of any change of address or telephone numbers of the representative.
1.1.1.8 Responsibility to Inform
All Tenderers shall be deemed to have:
1. Examined this RFT and all documents issued by Museums Victoria to Tenderers
2. Examined all further information relevant to the risks, contingencies and other circumstances having an effect on their Tender which is obtainable by the making of reasonable enquiries
3. Satisfied themselves as to the accuracy and sufficiency of their Tender, including all matters and things necessary for the due and proper performance and completion of the provision of equipment and services to be supplied
It is the responsibility of Tenderer to obtain all the information necessary to submit a Tender. Neither Museums Victoria nor any of its consultants will accept responsibility if a Tenderer has failed to become aware of matters which would have been apparent from the Request for Tender or other documents referred to or from any briefing and inspection of the site and facilities or from the failure of the Tenderer to make proper enquiries.
1.1.1.9 RFT Lodgement (Submission of Proposals)
Tenders must be submitted in accordance with the Conditions of Tendering Part I and Part II.
1.1.1.10
The Tenders submission must contain the completed documents, information and details as outlined in Part I and Part II–Schedules together with any other information required by this RFT with reference to specific requirements outlined within the Attachments.
Hard copy or emailed tender submissions are acceptable, the following number and types of copies of the Tender are required:
a) Hard Copies:
• Three copies on A4 paper, single sided (being the original plus 2 copies) including supporting documentation
• The original is to be marked “Original” and the copies marked “Copy No. 1” and “Copy No. 2”. In the event of any discrepancy between the copies and the original, the original takes precedence
• One electronic copy; text in Microsoft Word; spreadsheets in Excel format and graphics in PowerPoint
b) Email Tenders
• Email tenders to state Tender Number, closing date and description in the email subject line with attached documents to be in PDF format or equivalent.
Unnecessarily elaborate responses or other presentations beyond what is sufficient to present a complete and effective proposal are not desired or required. Elaborate art work and bindings, expensive visual and other presentation aids are not necessary. The Tender Box can receive documents no larger than 5cm x 40cm. Larger submissions will require the Tenderer to advise the Museums Contact Person in advance.
All Tenders and any accompanying documents become the property of Museums Victoria.
1.1.1.11
The Tenderer licenses Museums Victoria to reproduce the whole or any portion of the tender documents for the purposes of tender evaluation, notwithstanding any copyright or other intellectual property right that may subsist in those documents.
1.1.1.12
All documents provided by the Tenderer will be held by Museums Victoria in confidence so far as the law permits.
1.1.1.13
Lodgement of Tenders submissions shall be:
1. Placed in the Tender Box no later than the specified Closing Time, or
2. Posted so that it is received by Museums Victoria no later than the Closing Time, or
3. Emailed to [email protected] by the stated closing date and time
4. Facsimilesubmissions will not be accepted.
1.1.1.14
Tenderers are requested to lodge their Tender submissionsby the specified closing date and time in a sealed package prominently marked as follows:

Please ensure that the Tender Number is prominently marked on all enclosures such as Express Post bags, courier bags, mailing tubes, parcels etc. Tender submissions received by facsimile will not be accepted. Tenders may be lodged by post or a recognised carrier service but these must be lodged at the Tender Box by the advertised time and date. Late delivery by a third party may lead to disqualification.

1.1.1.16
Museums Victoria reserves the right at its sole and unfettered discretion to accept or refuse to accept a late Tender.
1.1.1.17
If, in Museums Victoria’s sole and absolute discretion, there is explicit and conclusive evidence that late receipt resulted from mishandling by Museums Victoria, a Tender will be deemed to be received before the Closing Time.
1.1.2 Statutory Declaration
A Statutory Declaration in the form of Schedule 9 must be made by the Tenderer, or a person authorised to make such a declaration on behalf of the Tenderer, and must be submitted with the Tender.
1.1.3 Tender Briefing
There will be a tender briefing conducted by Museums Victoria in relation to this tender. Tenderers are expected to attend this briefing session.
A formal meeting request will be issued by Museums Victoria’s nominated representative in Part II of the RFT for the following details:

1.2 Format and Content of Tender
1.2.1 Statement of Compliance
1.2.1.1
Tenderers shall provide responses as specified in Schedule 5.
In the case of a clause or section in the Conditions of Tender or the Conditions of Contract, that the clause can only be accepted if certain changes are made, the Tenderers proposed replacement clause, marked up to show the changes, must be given. A comment describing the changes sought is not acceptable. Refer to Schedule 5.
1.2.1.2
Where the Tenderer is unwilling to accept a specified condition, the non-acceptance must be clearly stated. Non-acceptance must be stated in Schedule 5.
1.2.1.3
No discussion will be entered into regarding changes to the responses after the final selection has been made. The successful Tender will form part of the formal contract.
1.2.1.4
Incomplete submission may be disqualified or assessed solely on the data received with the Tender.
1.2.1.5
All provisions of the Conditions of Tendering should be regarded as mandatory requirements unless explicitly identified otherwise.
1.2.2 Alternative Function and Performance Tender
(a) In addition to a conforming Tender, the Tenderer may submit an alternative proposal provided that it is clearly identified as an "Alternative Functional and Performance Tender" wherever it fails to comply with the specified requirements.
(b) Where a Tenderer submits an offer which meets the specific functional and performance requirements in an alternative and practical manner taking into account the totality of the requirement, it shall include any supplementary material, together with associated prices, which demonstrates in detail that such an alternative will fully achieve and/or exceed all the specified functional and performance requirements together with references as to why the additional features may be advantageous.
(c) Tenderers are encouraged to offer options or solutions which in a novel or innovative way contribute to Museums Victoria’s ability to carry out its business in a more cost-effective manner. These may be related to the functional, performance and technical aspects of the acquisition or opportunities for more advantageous commercial arrangements. These options will be considered commercial in confidence.
(d) Museums Victoria reserves the right to consider such offers on their merits or not to consider them further.
1.2.3 Incomplete Tenders
If the Tender does not include all the information in the format required by this RFT or is incomplete in any way, it may be rejected.
1.2.4 Preparation of Tenders
1.2.4.1
Museums Victoria will neither be responsible for, nor pay for, any expense or loss which may be incurred by Tenderers in the preparation of their Tenders.
1.2.4.2
Before submitting a Tender, the Tenderer is required to ascertain for itself the actual extent and nature of the work to be done, as Museums Victoria will notentertain any claim whatsoever on account of a failure to do so.
1.2.4.3
The Tenderer must acknowledge that it has satisfied itself as to the correctness and sufficiency of its Tender, and any rates and prices stated therein.
1.2.4.4
The Tenderer will have no claim against Museums Victoria due to the accuracy or otherwise of the Schedules and information obtained from Museums Victoria, and upon which the Tenderer has based its rates or prices and the Tenderer should make its own enquiries in any respects.
1.2.4.5
If the Tenderer has any doubt as to the meaning of any provisions or aspect of the Tender documents or contract, it must either:
• Request Museums Victoria in writing to clarify the issue
• When submitting the Tender, include a statement of the interpretation upon which its Tender has been prepared
1.2.5 Validity
A Tender shall be valid for 90 days from closing date of the Request for Tender and may be extended by mutual agreement. A Tender may not be withdrawn within that time unless the Tenderer obtains the consent of Museums Victoria.
1.3 Other Tender Rules
1.3.1 Site inspections
Site inspection will not take place unless requested by a Tenderer. In the event that a Tenderer requests a site inspection, all other Tenderers will be invited to attend a site inspection. Inspections can be arranged through the Contact Person and will be subject to conditions reasonably imposed by Museums Victoria. Museums Victoria will not accept any claim whatsoever on account of the Tenderers failure to conduct such an inspection.
1.3.2 Additional information
1.3.2.1
Any Tenderer requiring clarification of the RFT must submit questions to the Contact Person in writing and obtain clarification prior to submitting the Tender. All Tenderers must agree that any questions are submitted on the basis that the questions, and Museums Victoria’s responses, will be circulated to all Tenderers, where possible.
1.3.2.2
Any clarification by Museums Victoria of the RFT will be made by a formally numbered addendum. Each addendum issue will be distributed to each Tenderer to whom Tender documents have been issued. Each Tender submitted must refer to each addendum by number, and state that the proposal takes account of, and includes, the content and effect of each addendum.
1.3.2.3
Tenderers must direct all communications in writing to the Contact Person. Unauthorised communication with other staff of Museums Victoria may lead to disqualification of the Tender.
1.3.2.4
No information given to Tenderers during pre-Tender discussions or briefings will be binding. No information given to Tenderers during the Tender period will be binding, unless confirmed in writing in a numbered addendum to the RFT.
1.3.3 Demonstration
Shortlisted tenderers may provide detailed demonstrations of any proposed solutions on the operating system and hardware that they may have nominated in their Tenders.
1.3.4 Impartiality of specifications
Any Tenderer who believes the Specification associated with this RFT to be discriminatory, restrictive, or biased in favour of a specific product, form of technology or service should inform the Contact Personin writing as early as possible but in any event BEFORE the closing date of the Request for Tenders.
1.3.5 Proposalprice
1.3.5.1
The proposalprice is to include all duties, international freight, delivery and installation charges. All prices must be in Australian dollars and must specify any applicable goods and services tax.
1.3.5.2
Pricing relating to service provision must show an itemised breakdown of the charging structure.
1.3.5.3
Tenderers must state the period for which prices will be held, and the basis for which any adjustment might be made after that time.
1.3.5.4
Fees for services, over and above those for the supply of products must be inclusive of:
Salary and all salary related costs such as payroll tax (if applicable), superannuation, WorkCover insurance premiums and loadings for Public Holidays, annual leave and sick leave.
Overhead charges including use of company vehicles, head office administration expenses, office accommodation expenses, insurance premiums and so on.
Right Not to Proceed
The lowest cost Tender may not necessarily be accepted, and Museums Victoria reserves the right to reject all Tenders.
Right to Negotiate Contract
Museums Victoria reserves the right to negotiate with one or more of the final shortlisted Tenderers in order to finalise the commercial terms to form a contract. Selection of the final Tender or group of Tenderers will be subject to the execution of a formal contract.
Museums Victoria reserves the right to accept a portion or the whole of any Tender at the price or prices tendered, unless the Tender states specifically to the contrary.
Right to Change Process and Procedures
Museums Victoria reserves the right to change the process and procedures in this RFT.
1.4 Announcement of Successful Tenderer
Museums Victoria reserves the right to disclose the name of the successful Tenderer and the value of the contract.
1.5 Tenderers Presentation
As part of the evaluation process, Tenderers may be required to make themselves available for an interview process by members of the Tender Evaluation Panel. Further details will be provided to Tenderers as required.
1.6 Insurance
Pursuant to the attached terms and conditions, the successful tenderer will ensure and demonstrate that it has current insurance cover that is no less than$20 million for each product liability and professional indemnity.
