This essay will be a reflection on the James Hardie transactions, setting out your view of what, if anything, was wrong with the law, whether it has been fixed and what should be done about it. 'The task is for you to identify the area or areas where you think the law has failed in some way. The four areas of law of relevance to the essay are piercing the veil, directors duties of proper purpose, corporate social responsibility, and reconstructions and arrangements There is no requirement to deal with all four areas, or even any extra ones you may identify. Select what you think needs fixing.' It should be addressed to an audience familiar with corporations law. This essay should not only be about your grasp of the relation between law and morals, and the ethical framework of company law, but also be an illustration of your writing capabilities. Accordingly assessment will be as to the moral framework, law, the James Hardie case, expression and style, and argument.
